Terms of Service

Effective October 4, 2026

These terms apply to Bodell Baseboard and its connected business integrations, operated by Bodell Systems for authorized business use. By using the service, you agree to these terms on behalf of yourself and, where applicable, the business you represent.

1. Service and eligibility

Bodell Systems provides a controlled interface for authorized users to perform registered read, write, reporting, and administrative workflows in connected provider accounts through Baseboard and connected tools in an AI host. The platform serves multiple customer organizations; Viking Tree & Stump is the first pilot customer. Providers include Jobber, RingCentral, Google Business Profile, Ads/Local Services Ads, Analytics, Search Console and Tag Manager. You may use the service only for legitimate business purposes and only if you have authority to act for the business and connect or use its provider accounts. Only supported operations that are enabled for your organization are available; a permission or product description does not establish provider approval or general availability.

2. Accounts, OAuth, and authorization

You are responsible for the accuracy of account information, for protecting access to Baseboard, your AI host and provider accounts, and for ensuring that only authorized people use the integration. Provider access is provided through OAuth and is limited to granted scopes and registered operations. The connected business or its administrator may revoke OAuth access or disconnect the service at any time through available provider or integration controls. Existing authorized reads may continue while additional editing consent is pending.

Revocation or disconnection can prevent future requests but may not reverse completed provider actions or immediately remove operational, audit, security, or backup records created before revocation.

3. Requests and write actions

You are responsible for the instructions you submit and for reviewing the scope, arguments, and likely effect of an operation before approval. A read request may return confidential business or personal information. A supported write can change business records, public replies or posts, business information, advertising status or budgets, measurement settings, sitemap submissions or published tags. The scope and consequences depend on the specific enabled operation.

You authorize the specific approved action on your organization's behalf and remain responsible for its accuracy, recipients, content, budget and business effects. New management features remain off until accepted and enabled for the organization, with owner/admin permission by default, tenant and resource binding, retry protections, audit logging and useful errors. Public-facing actions require preview and confirmation; Tag Manager publication requires explicit confirmation. Those controls reduce risk but do not replace your responsibility to verify the requested action. Do not approve a write you do not understand or have authority to perform.

Write audit records identify the actor, action, approved before/after values and provider response. A provider accepting a request does not guarantee its business outcome. Completed changes are not reversed by disconnecting, and an uncertain result may need reconciliation before another attempt. RingCentral SMS sending remains disabled pending the sender's decision, consent controls and messaging registration; connecting RingCentral does not authorize a send.

4. Acceptable use

You must not:

  • access another organization's account, record, or operation without authorization;
  • bypass tenant binding, OAuth, role checks, registered-operation restrictions, rate limits, a write kill switch, or other safeguards;
  • use the service to violate law, provider terms, third-party rights, privacy obligations, or contractual restrictions;
  • introduce malicious code, probe for vulnerabilities without written authorization, disrupt the service, or misuse credentials;
  • submit false, deceptive, harassing, discriminatory, infringing, or unlawful content; or
  • resell, sublicense, or provide the integration to an unauthorized third party.

5. Third-party services

The service depends on third parties, including Jobber, Google, RingCentral, Auth0, the user's AI host such as OpenAI's ChatGPT or Codex, Cloudflare, Porkbun, and network or infrastructure providers. Their terms, privacy policies, technical limits, availability, API changes, model behavior, and account decisions are outside Bodell Systems' control. Use of providers and the AI host remains subject to your agreements with those providers.

AI-generated interpretations or proposed actions can be incomplete or incorrect. You must apply appropriate human judgment, especially for financial, customer-facing, safety-related, destructive, or legally significant work.

6. Availability, changes, and suspension

Bodell Systems may maintain, update, restrict, suspend, or discontinue all or part of the service to protect security, comply with law, respond to provider changes, prevent misuse, or support operations. Service availability is not guaranteed. Bodell Systems may temporarily disable writes while leaving reads or inbound processing available.

Bodell Systems may suspend or terminate access for unauthorized use, security risk, material breach, nonpayment where fees apply, provider restrictions, or legal requirements. You may stop using the service and request disconnection at any time.

7. Intellectual property

Bodell Systems and its licensors retain their rights in the integration, software, documentation, branding, and service design. The connected business retains its rights in its provider data and other materials it provides. You grant Bodell Systems a limited right to process those materials only as needed to provide, secure, support, and improve the authorized service.

8. Confidentiality and privacy

Each party should protect nonpublic information received through the service using reasonable care and use it only for authorized purposes. Bodell Systems' handling of information is described in the Privacy Policy. You are responsible for giving any notices and obtaining any permissions required for the data you place in provider accounts or submit through the integration. Google API data is also governed by the Google data privacy notice and its Limited Use commitments.

9. Disclaimers

To the fullest extent permitted by law, the service is provided “as is” and “as available.” Bodell Systems disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the service will be uninterrupted, error-free, completely secure, or suitable for a specific business outcome. Nothing in these terms excludes a warranty that cannot legally be excluded.

10. Limitation of liability

To the fullest extent permitted by law, Bodell Systems will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, data, or business opportunities arising from the service. Bodell Systems' aggregate liability arising from the service will not exceed the amount paid to Bodell Systems for the service during the twelve months before the event giving rise to the claim, or one hundred U.S. dollars if no fee was paid. These limits do not apply where prohibited by law.

11. Indemnification

To the extent permitted by law, the business using the service agrees to defend, indemnify, and hold Bodell Systems and its personnel harmless from third-party claims, damages, and reasonable costs arising from unauthorized or unlawful use, data or instructions supplied through the service, violation of these terms, or infringement of another party's rights. This obligation does not apply to the extent a claim results from Bodell Systems' gross negligence or willful misconduct.

12. Governing law and disputes

These terms are governed by the laws of the State of Michigan, United States, without regard to conflict-of-law rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Michigan for disputes that cannot be resolved informally. Before filing a claim, each party agrees to provide written notice and make a good-faith effort to resolve the dispute for at least thirty days.

13. General terms and contact

These terms and any applicable written service agreement are the entire agreement about the service. If a written service agreement conflicts with these terms, that agreement controls for the conflict. Invalid provisions will be limited to the minimum extent necessary, and the remaining terms continue in effect. Failure to enforce a term is not a waiver. You may not assign these terms without consent; Bodell Systems may assign them as part of a reorganization or transfer of the service.

Bodell Systems may update these terms as the service or law changes. Continued use after updated terms take effect constitutes acceptance where permitted by law. Questions and legal notices may be sent to integrations@bodellsystems.com.
